Our client, a highly regarded and growing public technology company, has retained Solutus Legal on an exclusive basis to assist the company in its search for a Senior Corporate Paralegal to provide overall support on corporate matters.  This position is located in the San Francisco Bay Area and has an in-office requirement.

Responsibilities include maintenance of corporate governance records and support of the minute books and related document portal, managing the corporate organizational entity structure including formation, dissolution and on-going maintenance of company subsidiaries, assisting with compliance activities such as disclosure committee support and quarterly disclosure certification process, overseeing the litigation hold process, assisting with the administration of the insider trading program, supporting the whistleblower hotline, and assistance with the planning of the company’s annual stockholders meeting and proxy filing.  The candidate must be able to assess governance needs across multiple jurisdictions and have drafting experience for all necessary corporate actions, including without limitation, Board of Director resolutions, stockholder consents, restructurings, business entity qualifications, stock transfers and exchanges and tax related documents.  The candidate must have direct experience working with US and international legal firms to ensure compliance across all geographies where the company operates.

Additional responsibilities may include support for intellectual property administration, including managing power of attorney for outside counsel, maintaining the docket management system, managing patent application prosecution deadlines, assisting with submission of invention disclosures, and other similar tasks.

Education & Experience Required:

Paralegal with 7+ years of directly relevant experience in a law firm or in-house legal department; a Bachelor’s degree and/or a paralegal certificate from an ABA-approved paralegal program is viewed positively but not required.

The ideal candidate must be a team player, have in-house public company experience and very strong organizational skills. Sound business judgment, good legal instincts, and a collaborative approach to working with all levels of employees are important to this role. Exceptional analytical and written/verbal communication skills, attention to detail, the judgment and flexibility to handle multiple priorities, and ability to take initiative to work autonomously within deadlines are critical for the successful candidate.

The compensation range for this position will be competitively positioned, and commensurate with the candidates experience and expertise.  Base salary is currently targeted between $150-175k + bonus for more experienced candidates, and $125-145k + bonus for more junior candidates, but may be adjusted depending on years of relevant experience.
