Our client, a thriving, specialized cloud provider and AI-hyperscaler, has exclusively retained Solutus Legal Search to assist its executives in hiring a seasoned corporate attorney to serve as the company’s Deputy General Counsel, Capital Markets and Strategic Transactions. This attorney will report directly to the General Counsel and will be responsible for building and managing a global strategic transactions legal team. This extremely well-funded company is in an exciting stage of explosive growth and expansion.  Our client is looking for a legal executive that has an entrepreneurial outlook, is a curious and independent thinker, is nimble in a fast-paced and collaborative environment, and isn’t fazed by a little chaos.

The successful candidate will work closely with the C-suite, the corporate development arm of finance, and other business teams on capital markets and strategic agreements and transactions. S/he will oversee a team of paralegals and lawyers and will have a minimum of 15 years of experience, with a heavy focus on complex equity and debt offerings.

The successful candidate may work from anywhere within the United States but must be willing and eager to travel regularly and as needed to company headquarters in New Jersey and offices in New York, San Francisco (opening July 2024), and future offices. The successful candidate also will be expected to accommodate their internal clients’ working hours for meetings or calls, which may largely be on east coast hours.

Responsibilities

  • Be a strategic partner to the corporate development and executive team and oversee the legal aspects of the company’s capital markets and strategic transactions.
  • Negotiating, drafting, managing, and advising on complicated capital markets agreements and transactions.
  • Negotiating, drafting, managing, and advising on complicated strategic agreements and transactions, including M&A deals.
  • Strategizing and managing the legal life cycle of the company’s M&A practice and working closely with the company’s cross-functional teams and outside counsel.
  • Providing advice and guidance on acquisitions and other strategic corporate transactions.
  • Advising on deal structure and issues, conducting, and managing due diligence, drafting and negotiating deal documentation and coordinating deal closings.
  • Working with domestic and international cross-functional teams on corporate governance matters.
  • Assisting with SEC reporting and securities compliance matters, including support in connection with the preparation of periodic reports and the proxy statement.
  • Working with business and legal colleagues outside the U.S. on capital markets and strategic transactions.
  • Recommending, retaining, and supervising outside counsel as needed for legal services.
  • Maintaining familiarity with applicable regulatory, compliance and business rules and regulations.
  • Prioritizing tasks to get deals done.

Key Qualifications:

  • JD and licensed or eligible to practice law in your state of residence.
  • 15+ years of experience running complex capital markets and strategic transactions.
  • Record of building and mentoring a team of lawyers and paralegals and managing external support.
  • Experience with providing strategic advice and implementing streamlining processes.
  • Comfortable working in a fast-paced environment.
  • Responsive, pro-active, business-minded, team-oriented, and pragmatic.
  • Superior leadership, negotiating, decision-making, and problem-solving skills.
  • Excellent oral and written communication skills.

Compensation for this position consists of a base salary range from $290,000 – $340,000, 30% bonus target, and an equity grant. The total compensation package will vary and depend on the candidate’s level of seniority, number of years of directly relevant experience, and geographic location.
